1. [Confirmation of the Agreement]
1.1 This Agreement is an agreement between SH Trelleborg Studio LoHi, LLC ("Top Comic") and you or the user regarding the services of the SH Trelleborg Studio LoHi, LLC comic platform ("Top Comic Platform") and other related matters. This Agreement has the force of a contract. You should carefully read and fully understand the terms of this Agreement, especially the terms in bold that (may) have a significant relationship with your rights and interests (including those involving exemption or limitation of Top Comic's liability, your rights, dispute resolution and jurisdiction, etc.), which you need to read carefully. Please read carefully and choose to accept or not accept this Agreement (minors should read with the accompaniment and consent of their legal guardians).
1.2 You understand and agree that your use of the Top Comic platform services indicates that you have confirmed your understanding and agreement to this Agreement, and this Agreement will be binding on you. At that time, you should not claim that this Agreement is invalid or request the cancellation of this Agreement on the grounds that you have not read the content of this Agreement. You promise to accept and abide by the provisions of this Agreement. If you do not agree to the provisions of this Agreement, you should immediately stop the registration process or stop using the Top Comic platform services.
1.3 This Agreement also includes the "Top Comic Privacy Policy", and when you use a specific service on the Top Comic platform, the service may have a separate agreement, related business rules, etc. (hereinafter collectively referred to as the "Separate Agreement"). Once the above content is officially released, it will become an integral part of this Agreement and you should also comply with it. If you check "Accept", it means that you have reached this agreement with Top Comic and accepted all the terms under this Agreement.
1.4 Top Comic Platform is a series of online and offline animation media owned by Top Comic and its affiliates or fully operated, including but not limited to: Top Comic and Top Comic client (Android, IOS).
2. [Eligibility]
2.1 You confirm that you have full civil rights and full civil capacity, are able to agree to and comply with this Agreement, and independently bear legal responsibility for all your actions under this Agreement. If you do not have the aforementioned civil capacity that is appropriate to your actions, you should obtain the informed consent of your legal guardian. If you are under the age of 18 but need to use this service, your legal guardian is required to read this agreement with you and obtain his or her consent. Please pay special attention to the terms for minors. At the same time, we recommend that your legal guardian supervise and guide your use of this service. The exercise and performance of rights and obligations under this Agreement by minors is deemed to have been approved by their legal guardians.
3. [Service Content]
3.1 The Service refers to the comic content services provided by Top Comic and its affiliates in accordance with their reasonable business arrangements, including but not limited to the following services:
3.1.1 Read online for free.
Without registering and logging into a Top Comic account, you have the right to use some of the services provided by the Top Comic platform online, you have the right to search for and browse some of the works provided by the Top Comic platform (referring to works in the form of comics or text works, the same below), and you have the right to browse some of the content of the comic community.
3.1.2 Register for free reading.
You have the right to use the following services provided by the Top Comic platform after registration and login (Top Comic and its affiliates have the right to upgrade or make other adjustments to the services or products they provide at any time and will promptly inform you of the updates):
After registering and logging in, you have the right to search and browse works, read comics and save reading progress, and you can post articles, like, comment, take pictures, participate in discussions, etc.
You have the right to post and reply comments in the corresponding work discussion area or Top Comic community after registering and logging in;
After registering and logging in, you have the right to participate in online or offline activities related to the comic platform and obtain rewards from the activities.
3.1.3 Register and pay to read Top Comic. When providing services, some services are provided on a paid basis. If you use paid services, please abide by the relevant agreements.
In the case of charges, Top Comic will clearly indicate the amount of charges and the corresponding services on the relevant pages. If you refuse to pay such fees, you will not be able to use the relevant services. You understand and agree that, based on actual needs, the Top Comic platform may modify and change the charging standards and methods of paid reading services, may convert paid works to free, and may also start charging for some free services. Before the aforementioned modifications, changes or the start of charges, the Top Comic platform will notify or announce on the corresponding service page, and will not compensate users who have already paid. If you do not agree with the above-mentioned modifications or changes to the paid content, you should stop using the service.
On the Top Comic platform, you can use certain payment methods to recharge your account and purchase virtual currency, points, coupons, monthly tickets, etc. on the Top Comic platform. Payment methods include but are not limited to WeChat, Alipay, etc. You cannot refund or exchange after a successful recharge or purchase. You understand and agree that the virtual currency, points, coupons, monthly tickets, etc. on the Top Comic platform are limited to the use of the designated Top Comic platform. The Top Comic platform does not support any form of transactions between users for virtual currency, points, coupons, monthly tickets, etc. (including but not limited to donation, lending, transfer, sale, mortgage, inheritance, and permission for others to use), and does not protect any transaction results of the above-mentioned subject matter between users.
You understand and agree that any user should obtain virtual currency, points, coupons, monthly tickets and other services through formal channels. Any virtual currency, points, coupons, monthly tickets and their derivative services obtained through unofficial channels will not have legal effect on Top Comic. Top Comic platform has the right to unilaterally recover the relevant virtual currency, points, coupons, monthly tickets and terminate the corresponding services. In serious cases, Top Comic platform has the right to ban the relevant users. (About gifted currency: If you do not log in to your account for more than 365 days, Top Comic will clear the gifted currency in your account.)
3.2 Top Comic grants you a limited, non-exclusive, non-transferable, non-sublicensable, but revocable license to access and use the Service in accordance with the requirements of this Agreement.
4. [Service Availability]
4.1Top Comic has always been adhering to the concept of consumer first and quality service, but it cannot guarantee that all or any services are available, operating normally, and without defects at any time. In addition, Top Comic cannot promise that the information you store and obtain through the use of the service will not be damaged, lost, unavailable or deleted. You understand and guarantee that you have the obligation to back up all and any of your information and files. You also understand and agree that if you use different network devices to use this service, there may be situations where any uploaded or downloaded files and information are unavailable.
4.2 You understand and agree that this service is provided in accordance with the current status of existing technology and conditions. The Top Comic platform will do its utmost to ensure the continuity and security of the service, but the Top Comic platform cannot foresee and prevent legal, technical and other risks at any time. Top Comic is exempt from liability for such risks to the extent permitted by law, including but not limited to service interruptions, data loss and other losses and risks that may be caused by force majeure, viruses, Trojans, hacker attacks, system instability, third-party service defects, government actions, etc.
7. [Rules of Use]
7.1 You must comply with laws and regulations when using this service and may not produce, copy, publish, disseminate information containing the following content or engage in related activities, nor may you facilitate the production, copy, publish, dissemination of information containing the following content or engage in related activities:
(1) Opposing the basic principles established by the Constitution;
(2) endangering national security, leaking state secrets, subverting state power, or undermining national unity;
(3) Damaging the national honor and interests;
(4) Inciting ethnic hatred, ethnic discrimination, and undermining ethnic unity;
(5) Undermining the state's religious policies and promoting cults and feudal superstitions;
(6) Spreading rumors, disrupting social order, and undermining social stability;
(7) Spreading obscenity, pornography, gambling, violence, murder, terror or instigating crime;
(8) Insulting or slandering others, or infringing upon the legitimate rights and interests of others;
(9) Violation of the "seven bottom lines" of laws and regulations, the socialist system, national interests, citizens' legitimate rights and interests, social order, morality and the authenticity of information;
(10) Prohibited by relevant laws and regulations or this Agreement, related agreements, rules, etc.
7.2 You promise and agree to access and use the Service in a legal and ethical manner in accordance with the requirements of this Agreement. Unless expressly provided in this Agreement or permitted by law, you agree and promise not to conduct any of the following activities:
(1) Delete any copyright, trademark or other proprietary information contained in the Service;
(2) Copy or modify all or part of the contents of the Service, or allow the Service or any part thereof to be merged with or incorporated into any other program;
(3) Unauthorized access or attempt to access or damage any part of the Service or related systems or networks;
(4) disassemble, decode or reverse engineer the Service or any part thereof, or create derivative works based on the Service or any part thereof, or attempt to engage in similar activities prohibited by applicable laws;
(5) Distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, broadcast, disseminate, establish mirror sites or otherwise use the Service for content to which Top Comic owns intellectual property rights;
(6) Reverse engineer, disassemble, decompile, or attempt in any way to discover the source code of the software or submit or otherwise provide all or part of the content of the Service (including the subject matter and source code) to anyone without the prior written permission of Top Comic;
(7) Impersonate another person, falsely claim or otherwise misrepresent your relationship with a person or entity;
(8) Use the Service (or any part thereof) for any illegal purpose, in any illegal manner, or in violation of this Agreement, or commit any fraud or other malicious acts, including but not limited to hacking into the Service (or the URL to which the Service links) or any operating system or implanting malicious code, including viruses or harmful data, therein;
(9) Collect information about users of the Service, or use automated means to access the Service or Top Comic systems, or attempt to decrypt any content transmitted to or extracted from the servers running the Service;
(10) Develop, support or use software, devices, scripts, robots or any other means or processes to steal the Service or otherwise copy user information and other data from the Service;
(11) Use the Service for commercial purposes or engage in any illegal commercial transactions, such as trafficking in arms, drugs, illegal items, pirated software or other contraband, without the prior written permission of Top Comic;
(12) Use this service to publish, transmit, disseminate, or store content that violates local laws and regulations, or stores content or advertising information or junk information that infringes upon the intellectual property rights, trade secrets, personal rights, or other legitimate rights of others;
(13) Requesting login information of others or accessing their accounts;
(14) Violation of the "seven bottom lines" requirements, including laws and regulations, the socialist system, national interests, citizens' legitimate rights and interests, public order, social morality and information authenticity;
(15) Any other use of the Service in any illegal manner, for any illegal purpose, or in any manner inconsistent with the permitted use of this Agreement.
7.3 If you violate relevant laws and regulations or the provisions of this Agreement during the use of this service, the relevant state agencies or institutions may file a lawsuit, impose fines or other sanctions on you and require Top Comic to assist you. If this causes damage to you or others, you shall bear all responsibility and Top Comic shall not bear any responsibility.
7.4 If you violate the provisions of this Agreement and cause losses to any entity, you shall bear the liability independently; if Top Comic suffers any losses as a result, you shall also compensate for it.
VIII. [Content sent and disseminated by users and complaint handling]
8.1 You are solely responsible for all content you send or disseminate through this service (including but not limited to web pages, text, images, audio, video, graphics, etc.).
8.2. The content you send or disseminate should have a legitimate source, and the relevant content should be owned by you or you have obtained the necessary authorization.
8.3Top Comic has the right to review, supervise and process your use of the Top Comic platform services and the information posted on the Top Comic platform services, including but not limited to user information (account information, personal information, etc.), published content (text, pictures, etc.), user behavior (building relationships, comments, reporting complaints, etc.). If Top Comic discovers, or receives a report or complaint from a third party that the content you send or disseminate is illegal, infringes on the rights of others, or violates the rules of use of this Agreement, Top Comic or its authorized entity has the right to require you to:
(1) Make corrections within a specified period of time;
(2) Take all necessary measures to mitigate or eliminate the impact of your improper behavior without prior notice, and notify you as much as possible after processing. The above necessary measures include but are not limited to changing, blocking or deleting relevant content, warning illegal accounts, restricting or prohibiting some or all functions of illegal accounts, suspending, terminating or canceling your right to use Top Comic platform services, etc.;
(3) Report to relevant regulatory authorities or state agencies;
(4) Other measures Top Comic deems reasonable.
8.4 If you are complained by others or you complain about others, Top Comic has the right to provide the necessary information such as the subject information, contact information, complaint-related content, etc. of the parties involved in the dispute to the relevant parties or relevant departments in order to resolve the complaint disputes in a timely manner and protect the legitimate rights and interests of all parties.
8.5 You guarantee that you are responsible for the authenticity, legality and validity of the information, materials, evidence, etc. you provide in the complaint handling procedure.
8.6 If your actions cause losses to Top Comic, Top Comic has the right to claim compensation from you in accordance with the law.
IX. Collection and Use of User Personal Information
9.1 Protecting user personal information is a basic principle of Top Comic. Personal information refers to various information recorded electronically or otherwise that can identify a specific natural person alone or in combination with other information or reflect the activities of a specific natural person. When you download, install, start, browse, register, log in, and use the products and/or services of the Top Comic platform, the Top Comic platform will collect, use, store and share your personal information in accordance with the provisions of the "Top Comic Privacy Policy" published on the platform. Therefore, we hope that you can carefully read and fully understand the full text of the "Top Comic Privacy Policy" and, when necessary, follow the guidance of the "Top Comic Privacy Policy" to make the choice you think is appropriate.
9.2 You should use the products and/or services of the Top Comic platform after carefully reading and fully understanding the "Top Comic Privacy Policy". If you disagree with the content of the policy, it may cause the products and/or services of the Top Comic platform to not operate normally, or fail to achieve the service effect that the Top Comic platform intends to achieve. Your use or continued use of the products and/or services provided by the Top Comic platform indicates that you fully understand and agree to the entire content of the "Top Comic Privacy Policy" (including updated versions).
9.3 You may need to fill in some necessary information when registering an account or using this service. If there are special provisions in national laws and regulations, you need to fill in your real identity information. If the information you fill in is incomplete, you may not be able to use this service or may be restricted during use.
9.4 Top Comic will not transfer or disclose your personal information to any third party unless:
(1) Relevant laws and regulations or requirements of judicial and administrative agencies;
(2) Transferred to complete a merger, division, acquisition or asset transfer;
(3) Necessary to provide the services you request;
(4) Circumstances where the information may be transferred or disclosed to any third party in accordance with the Top Comic Privacy Policy or other relevant agreement rules.
10. Intellectual Property Rights
10.1 All intellectual property rights of the services of the Top Comic platform and the software, technology, trademarks, materials (including but not limited to web pages, text, pictures, audio, video, graphics, computer software, etc.) used in the services belong to Top Comic. "Intellectual property" includes any and all rights, ownership and interests stipulated in laws such as patent law, copyright law, trademark law, anti-unfair competition law, and any and all applications, updates, extensions and restorations thereof. The intellectual property rights of the content generated by users in the use of this service belong to the users or the relevant rights holders, unless you have otherwise agreed with Top Comic.
10.2 The copyright or trademark rights of "Top Comic" and its logo and other commercial logos used by Top Comic in this service belong to Top Comic.
10.3 The intellectual property rights of the above and any other content contained in this service are protected by laws and regulations. Without the written permission of Top Comic, users or relevant rights holders, no one may use or create related derivative works in any form.
10.4The intellectual property rights owned and enjoyed by Top Comic will not be transferred due to any use by the user.
10.5 You acknowledge, understand and agree to authorize Top Comic and its affiliates to use the content you publish through the Top Comic platform on a non-exclusive and sublicensable basis, including but not limited to text, pictures, etc. Specifically, the forms of use may include:
10.5.1 The aforementioned content is transmitted through the network platform, application or product selected by Top Comic through its own or other third-party technologies, networks, etc., through wired or wireless networks, in different terminals (including but not limited to computers, mobile phones, Internet TVs, set-top boxes and other Internet devices, etc.) in different forms (including but not limited to on-demand, live broadcast, download, etc.) or telecommunications value-added services, etc., for free or for a fee;
10.5.2 Copy, translate, or incorporate the aforementioned content into any work, media, or technology currently known or later developed by Top Comic for related development or promotional purposes;
10.5.3 Authorize the aforementioned content to radio stations, television stations, online media, operator platforms and other media or operators that have cooperated with Top Comic to broadcast and disseminate it for related promotional purposes;
10.5.4 Other uses by Top Comic and its affiliates in good faith or with your authorization.
10.6 If you encounter any inappropriate content or content that violates the terms of this Agreement or any laws and regulations, you can contact us through the "Feedback" or "Contact Us" published in the Top Comic service platform client, or send an email to kefu@xiaomingtaiji.com to notify us.
XI. [Products or services provided by third parties]
Some content, components or functions of Top Comic services may come from third-party materials and links. You understand and accept that Top Comic is not responsible for any direct or indirect damages caused or may be caused to you by services involving or relying on third-party materials.
XII. [Force Majeure and Disclaimer]
12.1 You understand and agree that in the process of using this service, you may encounter risk factors such as force majeure, which may affect this service. Force majeure refers to objective events that cannot be foreseen, overcome or avoided and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics and storms, and social events such as wars, unrest, government actions, etc. When the above situation occurs, Top Comic will strive to cooperate with relevant units at the first time and strive to deal with it in a timely manner, but Top Comic will be exempted from liability for the losses caused to you within the scope permitted by law.
12.2 To the maximum extent permitted by applicable law in your jurisdiction, Top Comic will not be liable for any liability, loss, damage or compensation arising from your or any other person's inability to access or use the Service due to:
(1) Delays or failures in communications with systems or networks not owned or controlled by Top Comic;
(2) Improper user operation or use of the service by users in a manner not authorized by Top Comic.
(3) The contract or other agreement between Top Comic and any third-party payment service provider is suspended, cancelled or terminated;
(4) Errors or interruptions caused by viruses, Trojans or other malicious programs, hacker attacks or similar security impacts;
(5) Outdated program version, aging equipment and/or compatibility issues.
(6) Other reasons beyond the reasonable control of Top Comic;
12.3 You understand and agree that you may encounter risks brought by network information or other user behaviors in the process of using this service. Top Comic is not responsible for the authenticity, applicability, and legality of any information, nor is it responsible for any damages caused to you by infringement. These risks include but are not limited to:
(1) Anonymous or pseudonymous information containing threatening, defamatory, offensive or illegal content.
(2) Any psychological, physical harm or economic loss caused or likely to be caused by misleading, deceiving or other means.
(3) Other risks caused by network information or user behavior.
12.4 Top Comic obtains the right to deal with illegal and unlawful content in accordance with the provisions of this Agreement. This right does not constitute an obligation or commitment of Top Comic. Top Comic cannot guarantee timely discovery of illegal acts or corresponding treatment. Top Comic does not make any guarantees regarding the safety, reliability, timeliness and performance of Top Comic's services and products, and does not guarantee that any products, services or other materials provided meet the user's expectations.
12.5 Under no circumstances should you trust requests for loans, passwords or other information involving property. If property operations are involved, please verify the identity of the other party first and always pay attention to Top Comic's tips on preventing fraud.
13. [Advertisement Release]
13.1 You agree that Top Comic platform may send and display advertisements or other information (including commercial and non-commercial information) to you by itself or through third-party advertisers through various means such as SMS, email or electronic information in the process of providing services. The specific sending and display form, frequency and content of advertisements or other information shall be subject to the actual provision of Top Comic platform.
13.2 If you do not want Top Comic to use your personal information for the aforementioned advertising purposes, you can request to stop using your personal information for the aforementioned purposes through the relevant instructions provided by Top Comic in advertisements or the selection mechanism provided in specific services.
13.3Top Comic platform publishes advertising content and promotes business in accordance with the provisions of laws and regulations. You agree that you should carefully judge the authenticity and reliability of such advertisements and promotional information. Except as expressly provided by law, you shall be solely responsible for any purchases or transactions made due to such advertisements or promotional information or for any damages or losses suffered due to the aforementioned content.
XIV. [Change, interruption, and termination of service]
14.1 You understand and agree that Top Comic may change the content of the service, or interrupt, suspend or terminate the service based on adjustments to its business strategies.
14.2 If any of the following circumstances occurs, Top Comic has the right to interrupt or terminate the provision of all or part of the services to you without notice:
(1) If you violate relevant laws and regulations or the provisions of this Agreement and other Top Comic platform rules, social morality, public order and good customs and/or infringe upon the legitimate rights and interests of others, after the termination of the Agreement, we may still pursue your liability for breach of contract in accordance with this Agreement;
(2) In accordance with legal provisions or requirements of competent authorities;
(3) For security reasons or other necessary circumstances.
14.3 After your service is terminated, Top Comic has the right to permanently delete your personal information and data from the server or anonymize it in accordance with the requirements of applicable laws, except as otherwise provided by laws and regulations. After the service is terminated, Top Comic has no obligation to provide or return data to you.
14.4 After your service is terminated, you will not be relieved of the obligation to pay any fees that are still payable before (inclusive) the termination date, and Top Comic and any third party shall not bear any liability for the consequences of your inability to obtain the service after the termination of the service.
15. [Revisions to this Service]
15.1Top Comic is constantly updating, revising and improving the Service. Top Comic may add or remove features or functions of the Service, set new restrictions, or temporarily or permanently suspend the provision of a service.
16.2 If the revision of this Service will seriously affect users or severely restrict users' access to or use of this Service, we will notify you in an appropriate manner (including but not limited to pop-up windows, emails, internal messages, website announcements, etc.) within a reasonable time before the change. However, if the revision of this Agreement or this Service will not seriously affect users or severely restrict access to or use of this Service, we may not notify you in advance. For revisions to this Service made to meet security, legal or regulatory requirements, we may not be able to meet the aforementioned time requirements, but we will notify you as soon as possible.
XVI. [Amendment to this Agreement]
16.1Top Comic may revise this Agreement at any time and publish specific terms, codes of conduct or guidelines that are effective for the entire service, a certain part or multiple parts of the Top Comic platform based on changes in national policies, technical conditions, product functions, etc. The latest version of this Agreement will be published in this service. You should check the latest version regularly, and the statement of your rights and obligations shall be subject to the latest terms of service.
16.2 Once the aforementioned content is officially released, Top Comic Platform will remind you of the updated content in an appropriate manner (including but not limited to pop-ups, emails, in-site messages, website announcements, etc.) so that you can keep up to date with the latest version of this Agreement.
16.3 The modified content will constitute an integral part of this Agreement and you shall abide by it. If you continue to use the Service after the amendment takes effect, you shall be deemed to have accepted the aforementioned amendment and are willing to be bound by the updated Agreement. If you do not agree to such amendment, you shall immediately stop using the Service to terminate the contractual relationship with Top Comic.
XVII. [Terms of Use for Minors]
17.1 Top Comic attaches great importance to the protection of minors. If you are a minor, you should read this Agreement under the supervision and guidance of your legal guardian and use the products and/or services of the Top Comic platform after obtaining the consent of your legal guardian.
17.2 Legal guardians should instruct their children on the safety issues they should pay attention to when surfing the Internet to prevent any problems. Top Comic does not encourage minors to use the products/services of the Top Comic platform for any consumption behavior. If there is any consumption, the minor should apply for consumption in the name of the legal guardian or operate with the explicit consent of the legal guardian. The use of Top Comic platform services by minors is deemed to have been approved by the legal guardian.
17.3 Minors should pay attention to the following matters when using this service, improve their safety awareness and strengthen their self-protection:
(1) Recognize the difference between the online world and the real world, and avoid being addicted to the Internet, which will affect your daily study and life;
(2) When filling in personal information, strengthen personal protection awareness to prevent bad elements from harassing your personal life;
(3) Under the guidance of a guardian or teacher, learn to use the Internet correctly;
(4) Avoid meeting with strangers online or participating in social activities at random, so as to prevent criminals from taking advantage of the opportunity and endangering your own safety.
19.4 If the user is under 18 years old, he/she is a minor and should read this Agreement and use this service under the supervision and guidance of a guardian. Guardians and schools should provide more guidance to minors in using this service. In particular, parents should care about their children's growth, pay attention to communication with their children, and guide their children on the safety issues they should pay attention to when surfing the Internet to prevent problems before they occur.
XVIII. [Jurisdiction and Applicable Law]
18.2 The formation, effectiveness, performance, interpretation and dispute resolution of this Agreement and other related matters shall be subject to the laws and relevant regulations of the United States (excluding conflict of laws).
18.3 If any dispute or controversy arises between you and Top Comic, the two parties shall first resolve the dispute through friendly negotiation; if the negotiation fails, you agree to submit the dispute or controversy to the People's Court with jurisdiction over the place where this Agreement is signed.
18.4 If any provision of this Agreement is deemed to be repealed, invalid or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
18.5 If this Agreement has multiple language versions such as English, if the corresponding contents are inconsistent, the English version shall prevail.
